By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Eligibility

You must be at least 18 years old or have the legal capacity to enter into contracts to use our Services. By using our Services, you represent that you meet these eligibility requirements.

2. Account Registration

To access certain features of our Services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration.

  • Maintain the security of your account credentials.

  • Notify us immediately of any unauthorized use of your account.

  • Be responsible for all activities conducted through your account.

3. Use of Services

3.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. Our Services include access to APIs, developer tools, and other features designed to support blockchain and Web3 development.

3.2 Prohibited Activities

You agree not to:

  • Use the Services for any illegal or unauthorized purpose.

  • Attempt to gain unauthorized access to our systems, networks, or other users’ accounts.

  • Interfere with or disrupt the operation of the Services, including through denial-of-service attacks or excessive usage.

  • Reverse engineer, decompile, or otherwise attempt to extract the source code of our Services, except as permitted by law.

  • Use the Services to transmit malicious code, viruses, or harmful content.

  • Misrepresent your identity or affiliation with any person or entity.

3.3 Trial Periods

By initiating a trial period you agree to the following:

  • Trial periods may only be used once per user for any or all plans. Please choose the highest level plan you think you will ever need.

  • Users suspected of initiating multiple trial periods will be charged immediately.

  • The trial period will be cancelled immediately if the pending charge is canceled.

  • We reserve the right to revoke a trial period and initiate the charge for any user suspected of “gaming” our payment system, attempting to gain free access to paid plans, or abusing our services by hitting rate limits or any other reason we see fit.

4. Fees and Payment

Some Services may require payment. You agree to:

  • Pay all applicable fees as described on our website or in your account.

  • Provide accurate payment information and authorize us to charge your payment method.

  • Be responsible for any taxes associated with your use of the Services.

  • Subscription plans automatically renew until canceled, and you may cancel at any time through your account settings.
We may modify fees at any time, with notice provided via our website or email. Non-payment may result in suspension or termination of your access to the Services.

Fees are non-refundable except as expressly stated in these Terms.

  • Refunds may be issued if a Service does not match its description, at constant•k’s sole discretion. The user must submit a refund request and explicitly describe and show evidence of which part of the Service does not match the description on Pricing page.

  • Service may have scheduled downtime which the subscriber will be made aware of at least 24 hours in advance via website banners and/or email notifications and/or Discord notifications.

  • Service may have emergency downtime. We will do everything possible to avoid these scenarios.

  • Service is considered fully operational if at leaste one (1) RPC is online and caught up.

  • Scheduled or emergency downtime does not count as reason for a refund in partial or in full.

  • To request a refund, contact us at support@constant-k.com.

6. Intellectual Property

6.1 Our Content

All content, software, and materials provided through the Services, including APIs, documentation, and trademarks ("Our Content"), are owned by or licensed to constant•k. You are granted a limited, non-exclusive, non-transferable license to use Our Content solely for the purpose of accessing and using the Services as permitted by these Terms.

6.2 Your Content

You retain ownership of any data, code, or content you submit or generate through the Services ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process Your Content to provide and improve the Services.

7. Third-Party Services

Our Services may integrate with or rely on third-party services, such as blockchain networks or payment processors. We are not responsible for the availability, performance, or terms of these third-party services. Your use of such services is subject to their respective terms and policies.

8. Termination

8.1 By You

You may stop using the Services at any time by closing your account or ceasing access.

8.2 By Us

We may suspend or terminate your access to the Services if you:

  • Violate these Terms.

  • Fail to pay applicable fees.

  • Engage in activities that harm our Services, users, or third parties.

Upon termination, your right to access the Services will cease, and we may delete Your Content, subject to applicable law.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure, or that any blockchain transactions will be successful.

10. Limitation of Liability

To the fullest extent permitted by law, constant•k and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunities, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages. Our total liability to you for any claim will not exceed the amount you paid us for the Services in the six (6) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless constant•k and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Services, Your Content, or your violation of these Terms or applicable law.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Indiana, USA, without regard to its conflict of law principles. Any disputes arising under these Terms will be resolved through binding arbitration in Fishers, Indiana, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions or class-wide arbitration.

13. Changes to These Terms

We may update these Terms to reflect changes in our Services or legal requirements. We will notify you of material changes via our website, email, or within the Services. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

14. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and constant•k regarding the Services.

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

  • Force Majeure: We are not liable for delays or failures in performance due to events beyond our reasonable control, such as natural disasters or network outages.
